VectraLex – Addendum (Legal AI Agent)

Parent Agreement: VectraLabs Master Terms of Use

1. Relationship to Master Terms

This VectraLex Product Addendum (“Addendum”) supplements the VectraLabs Master Terms of Use. In the event of a conflict, this Addendum governs solely with respect to use of VectraLex. By using VectraLex, you agree to this Addendum and the Master Terms.

2. Intended Users

VectraLex is designed for:

  • Law firms,
  • In-house legal teams,
  • Legal service organizations,
  • Professionals working under the supervision of licensed attorneys.

It is not intended for unsupervised use by non-lawyers to provide legal services to others.

3. No Legal Advice; No Lawyer-Client Relationship

  • VectraLex is an AI-enabled drafting and research assistant.
  • VectraLex does not provide legal advice.
  • VectraLabs is not a law firm and does not create an attorney-client relationship with you or your clients.

All Outputs:

  • Are generated automatically based on patterns in data,
  • May be incomplete, outdated, or jurisdictionally incorrect,
  • Must be independently reviewed, edited, and approved by a qualified lawyer before use, filing, or reliance.

You agree not to rely solely on Outputs as legal advice.

4. Confidentiality & Client Data

4.1 Use of Legal Documents & Matter Data

When you upload contracts, pleadings, or other legal materials (“Matter Data”) to VectraLex:

  • Such data is treated as Customer Data under the Master Terms.
  • Used solely to provide services to you (e.g., drafting, redlines, summaries).
  • Not shared with other customers.

4.2 Model Training

VectraLex does not use identifiable Matter Data to train public models or models accessible to other customers. Limited, de-identified, aggregated telemetry may be used to improve performance and detect abuse, in line with the Privacy Policy.

4.3 Security

VectraLabs implements commercially reasonable security controls for legal Matter Data, including access controls and encryption.

You remain responsible for:

  • Determining whether uploading specific client data complies with your professional and regulatory obligations;
  • Using anonymization or redaction where required.

5. Professional Responsibility

You acknowledge:

  • You are solely responsible for compliance with rules of professional conduct, confidentiality, conflicts, and privilege.
  • Using VectraLex does not shift professional responsibility or liability to VectraLabs.
  • Where required by law or bar rules, you will obtain client consent before using AI assistance.

6. Prohibited Uses (VectraLex-Specific)

You agree not to:

  • Present VectraLex as a licensed attorney or law firm.
  • Use VectraLex to provide legal services where you are not authorized to practice.
  • File any Output with a court, regulator, or client without proper lawyer review.
  • Use VectraLex to auto-generate legal advice or documents without human oversight.

7. Liability for VectraLex

VectraLabs is not responsible for:

  • Malpractice claims;
  • Unauthorized practice of law claims;
  • Ethical breaches or sanction risks tied to your use of Outputs.

All limitations of liability in the Master Terms apply fully to VectraLex.

8. Other Vertical Agents

Future domain-specific agents (e.g., for real estate, finance, SEO) may be governed by their own addendums, each supplementing the Master Terms.
