VectraSEO – Addendum (Marketing & SEO AI Agent)

1. Relationship to Master Terms

This VectraSEO Product Addendum (“Addendum”) supplements the VectraLabs Master Terms of Use. In the event of conflict, this Addendum controls for the use of the VectraSEO agent.

2. Purpose and Intended Users

VectraSEO is an AI-powered marketing and SEO optimization agent designed for:

• Digital marketing agencies
• SEO consultants and web strategists
• Businesses optimizing online visibility, ad performance, or content strategy

It automates keyword research, competitor analysis, ad optimization, and campaign reporting using AI-assisted workflows.

3. Nature of the Service

VectraSEO generates insights, recommendations, and draft content using statistical patterns, public data, and customer-provided inputs. VectraLabs makes no guarantee that Outputs will produce specific SEO rankings, traffic levels, or conversion outcomes.

You acknowledge that:

• Search engine algorithms and ranking factors change frequently and independently of VectraLabs;
• Outputs are generated automatically and require human review and professional judgment before implementation;
• Results depend on many external factors, including website configuration, backlinks, competition, and content quality.

4. Confidentiality & Data Handling

• Customer Data (including campaign data, analytics exports, and keyword lists) is treated as confidential under the Master Terms.
• VectraSEO may process limited data via third-party analytics APIs (e.g., Google Search Console, SEMrush, Ahrefs, etc.) only with your authorization.
• VectraLabs does not share campaign or keyword data between customers.
• De-identified usage statistics may be used to improve system performance and model accuracy.

5. Customer Responsibilities

Customers agree to:

• Review all Outputs for accuracy and compliance before use in live campaigns.
• Ensure compliance with applicable advertising, data protection, and content laws (including GDPR, CAN-SPAM, and FTC advertising guidelines).
• Avoid publishing plagiarized or infringing content generated via VectraSEO.
• Maintain necessary API credentials and permissions when integrating external SEO tools.

VectraLabs is not responsible for regulatory noncompliance, advertising penalties, or search engine bans resulting from customer misuse.

6. Prohibited Uses

You may not use VectraSEO to:

• Generate false, deceptive, or misleading advertising content;
• Manipulate search engine results through spam or black-hat SEO tactics;
• Scrape or harvest data in violation of third-party terms;
• Publish unreviewed AI content at scale without human moderation;
• Infringe on third-party intellectual property rights.

7. Warranties & Disclaimers

VectraLabs provides no warranty that use of VectraSEO will:

• Guarantee page-one rankings,
• Improve domain authority, or
• Result in increased revenue.

All Outputs are provided “as is” and must be independently validated. VectraLabs disclaims any responsibility for algorithm changes, third-party data accuracy, or integration limitations.

8. Limitation of Liability

VectraLabs’ liability under this Addendum is limited per Section 11 of the Master Terms. In no event shall VectraLabs be liable for:

• Lost revenue, profits, or SEO performance;
• Reputational harm due to inaccurate or unreviewed content;
• Penalties from advertising or search platforms.

9. Termination

VectraLabs may suspend or terminate access to VectraSEO for misuse, violation of data use policies, or nonpayment. Customer obligations regarding data confidentiality, indemnity, and liability survive termination.

10. Miscellaneous

• VectraLabs may update this Addendum periodically to reflect new SEO capabilities or compliance updates.
• Continued use of VectraSEO after updates constitutes acceptance of revised terms.
